Terms of Service

Draft — this document has not yet been reviewed by a lawyer. Highlighted passages are marked for review.

These terms are an agreement between you and Onyx One LLC (“we”, “us”), which operates Sauce Ledger (the “Service”). By creating an account or using the Service you agree to them. If you use the Service for a business, you agree on its behalf and confirm you may do so.

1. What the Service is — and is not

Sauce Ledger is a record-keeping tool. It does not replace your process authority, and it does not guarantee regulatory compliance. You remain responsible for following your scheduled process and the laws that apply to you.

The Service helps you keep batch records, lot and inventory records, pH and temperature logs, cost estimates and traceability reports. Pass/fail indications compare the values you enter with the limits you enter from your process authority's letter; they are only as accurate as those entries. The Service does not review, approve or validate your scheduled process, your process authority letter, your labels, or your facility, and is not a substitute for the advice of a process authority, food safety professional, or lawyer. You are solely responsible for your products, for following your scheduled process, for any required registrations and filings (for example with the FDA or your state), and for any recall decisions.

2. Accounts

You must give accurate information, keep your password secure, and be at least 18. You are responsible for what happens under your account, including actions by team members you invite. Tell us promptly at support@onyxoneapps.com if you suspect unauthorized access.

3. Your data

You own the records you put into the Service (“Customer Data”). You give us permission to host, process, back up and display Customer Data only to provide and improve the Service and as described in our Privacy Policy. You can export your Customer Data at any time as CSV files. After your account is closed we delete Customer Data within 90 days, except where we must keep it longer by law.

Records you keep may be required by law to be retained for a period (for example, records relating to acidified foods). The Service is not a records archive of last resort: keep your own exports and copies as your obligations require.

4. Plans, trials and payment

Paid plans are billed in advance, monthly or annually, through our payment processor, Stripe. A free trial, when offered, converts to a paid subscription at its end unless you cancel before then. Prices may change with at least 30 days' notice before your next renewal. Taxes may be added where required. Refunds are described in our Refund Policy. If a payment fails we may limit paid features until it is resolved; your data remains available for export.

5. Acceptable use

  • Do not use the Service to break the law, to store data you have no right to store, or to infringe anyone's rights.
  • Do not attempt to access other customers' data, probe or disrupt the Service, or circumvent plan limits or security.
  • Do not resell the Service without our written permission.

6. Availability and changes

We work to keep the Service available and your data safe, but we do not promise uninterrupted or error-free operation. We may change features; if we make a change that materially reduces a paid feature you rely on, you may cancel and receive a prorated refund of prepaid fees for the unused period.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT USE OF THE SERVICE WILL RESULT IN REGULATORY COMPLIANCE OR SAFE FOOD.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, PRODUCT RECALL COSTS, OR LOSS OF DATA, AND OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

9. Indemnity

You will defend and indemnify us against claims arising from your products, your Customer Data, or your breach of these terms.

10. Ending the agreement

You may stop using the Service and cancel at any time. We may suspend or end your access if you materially breach these terms, after notice where reasonable. Sections 3 (export and deletion), 7, 8, 9 and 11 survive.

11. General

These terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules, and disputes will be resolved in the courts of [COUNTY, STATE]. If any part of these terms is unenforceable, the rest remains in effect. We may update these terms; we will give notice of material changes at least 30 days before they take effect.
